1. Agreement to Terms
By accessing this website or engaging Embed Solutions LTD (“Embed Solutions”, “we”, “us”, or “our”) for engineering services, you agree to be bound by these Terms of Service. If you do not agree, please do not use this website or our services.
2. Services
Embed Solutions provides custom IoT and embedded systems engineering services, including but not limited to:
- PCB design and hardware development
- Embedded firmware development
- Technical feasibility consultation
- IoT product development from concept to production
The scope, deliverables, timeline, and pricing of each engagement are defined in a separate Statement of Work (SoW) or project agreement agreed upon in writing between Embed Solutions and the client.
3. Intellectual Property
Upon full payment for a completed client project, the client receives full ownership of all Intellectual Property (IP) produced specifically for that project, including hardware design files (schematics, Gerbers, BoM) and firmware source code.
Embed Solutions retains ownership of any proprietary tools, frameworks, libraries, or methodologies developed independently and used in the delivery of services. Where open-source components are used, they remain subject to their respective licences.
The website content, branding, logos, and marketing materials on this site are the property of Embed Solutions LTD and may not be reproduced without written permission.
4. Confidentiality
We treat all client project information as confidential. We will not disclose your project details, technical requirements, or business information to third parties without your written consent, except as required by law.
Where a formal Non-Disclosure Agreement (NDA) is required, we are happy to sign one before any project discussion begins.
5. Payment Terms
Specific payment terms are agreed upon per project engagement. Unless otherwise agreed in writing, a deposit is required before work begins, with the balance due upon project completion and delivery. Late payments may result in work being paused until payment is received.
6. Limitation of Liability
Embed Solutions provides engineering services with professional care and expertise. However, we cannot guarantee that hardware or firmware developed will be free from all defects, particularly in extreme operating environments not specified during the project scoping phase.
To the maximum extent permitted by law, Embed Solutions’ liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We are not liable for indirect, incidental, or consequential damages resulting from use or inability to use our services.
7. Website Use
This website is provided for informational purposes. We make no representations that the content is accurate, complete, or current at all times. We reserve the right to modify or remove content at any time without notice.
You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair the site.
8. Governing Law
These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of the courts of Nairobi, Kenya.
9. Changes to These Terms
We may update these Terms of Service from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of this website after changes constitutes acceptance of the updated terms.
